1Acceptance of these Terms
These Terms of Service ("Terms") are a binding agreement between you ("you" or "User") and the operator of Soulquant described in Section 2 ("Soulquant," "we," "us"). By creating an account, connecting an exchange, or otherwise using the Soulquant platform (the "Service"), you agree to these Terms, our Privacy Policy, and our Risk Disclosure. If you do not agree, do not use the Service.
2Who operates Soulquant
Soulquant is a product operated by Jules Ventures, the trade name of an individual acting as a sole proprietor. Soulquant is not a corporation, LLC, partnership, or other separate legal entity — it is operated by a natural person doing business under that name, based in Switzerland. Contract and liability obligations under these Terms are those of that individual operator, personally.
3What the Service is (and isn't)
Soulquant provides software tooling that lets you configure and run an autonomous software agent against your own cryptocurrency exchange account, using your own API keys and your own trading strategy (in plain language or from a template you select). The Service:
- reads market data and your account state, and — according to the strategy and risk settings you configure — places, adjusts, and closes orders on your exchange account;
- does not hold, custody, or have withdrawal access to your funds at any point;
- starts every newly created system in a simulated "paper" mode against real market data, and requires a deliberate, explicit action from you before it will place a single real order with real funds ("go-live").
We do not select your strategy for you, do not guarantee any outcome, and do not exercise discretionary investment authority over your account. You remain the person who decides to enable live trading, and the settings that govern how aggressively and how large the agent trades are set by you.
4Not financial or investment advice
Nothing provided through the Service constitutes financial, investment, legal, or tax advice, and nothing is a recommendation to buy, sell, or hold any asset. We are not a registered investment adviser, broker-dealer, commodity trading advisor, or financial planner in any jurisdiction, and the Service is not offered as such. Any strategy templates, defaults, or example configurations are provided purely as a technical starting point for you to edit — they are illustrative, not advice, and we make no representation that any of them are suitable for you or profitable at any time.
You are solely responsible for evaluating whether automated trading, and any particular strategy, is appropriate for your circumstances, and for consulting a licensed advisor if you want personalized advice.
5Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction, if higher) and have full legal capacity to enter into these Terms. You represent that you are not: (a) a resident of, or accessing the Service from, a country or territory subject to comprehensive sanctions by the United Nations, the European Union, Switzerland, the United States (OFAC), or the United Kingdom; (b) listed on any sanctions or denied-party list; or (c) prohibited from using cryptocurrency exchanges or derivative/perpetual-futures products under the law that applies to you. You are responsible for confirming that automated crypto trading is lawful for you where you live before using the Service.
6Your account, keys, and funds
To use the Service you connect your own account on a third-party cryptocurrency exchange using API credentials that you generate and control. You are responsible for:
- creating those credentials with trade-only permissions and no withdrawal permission, and for any loss that results if you grant broader permissions than we request;
- the security of your Soulquant account login and any device or session used to access it;
- all activity that occurs through your account, whether or not authorized by you, except to the extent caused by our gross negligence or willful misconduct;
- maintaining sufficient balance on your exchange account and in your Soulquant compute wallet for the Service to function as configured.

7Assumption of risk
By using the Service — and in particular by enabling live trading — you acknowledge and accept the risks described in full in our Risk Disclosure, including the risk of losing all funds allocated to a system, the risk that an AI-driven agent may act on flawed reasoning or bad data, and the risk that exchanges, networks, or the Service itself may fail or behave unexpectedly. We make no guarantee, express or implied, of any profit, return, or level of performance, and past performance in paper trading, backtests, or on other systems is not indicative of future results on yours.
8Fees, wallet, and billing
Use of the Service requires a recurring platform fee and/or a prepaid compute wallet balance, as described on our pricing page and billed through our payment processor (Stripe). Wallet funds are consumed as your agents run; unused wallet balance is not interest-bearing. If you enable auto-reload, your saved payment method will be charged automatically, subject to the caps you configure. Fees are generally non-refundable except where required by law or expressly stated at time of purchase. We may change our fees prospectively with notice.
9Your responsibilities
You are solely responsible for: your trading strategy and its configuration; your risk and sizing settings; the decision to move any system from paper mode to live trading; your compliance with all laws, regulations, and tax obligations that apply to you, including in relation to crypto-asset trading, in your jurisdiction; and the accuracy of any information you provide to us. We take no position on, and give no advice about, the tax treatment of your trading activity.
10Acceptable use
You agree not to: use the Service for any unlawful purpose or in violation of exchange terms of service; attempt to interfere with, disrupt, or gain unauthorized access to the Service or other users' data; reverse-engineer the Service in order to build a competing product from our non-public materials; use the Service to launder money or evade sanctions; or misrepresent your identity or eligibility. We may investigate suspected violations and take appropriate action, including suspension.
11Service provided "as is"
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE DO NOT WARRANT THE ACCURACY OF MARKET DATA, THE CORRECTNESS OF ANY AGENT DECISION, OR THE PERFORMANCE OF ANY STRATEGY. Exchanges, networks, hosting providers, and AI model providers we rely on are third parties outside our control, and we are not responsible for their outages, errors, or misbehavior.
12Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, TRADING LOSSES, LOSS OF FUNDS, OR LOSS OF DATA, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; AND (B) OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED THE TOTAL FEES YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. This limitation does not apply to liability that cannot be excluded or limited under applicable law, including liability for death, personal injury, fraud, or gross negligence.
In particular, we are never liable for trading losses incurred on your exchange account — those losses are a direct and foreseeable consequence of the trading activity you configured and authorized, not a malfunction of the Service.
13Indemnification
You agree to indemnify, defend, and hold harmless the operator of Soulquant from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: your trading activity and decisions, including any losses on your exchange account; your breach of these Terms; your violation of any law or third-party right; or your use or misuse of the Service.
14Suspension and termination
You may stop using the Service and close your account at any time; outstanding wallet balances are handled per our then-current refund practice. We may suspend or terminate your access, with or without notice, if we reasonably believe you have violated these Terms, misused the Service, posed a security risk, or if required by law or a payment processor. On termination, any pending live positions on your exchange remain yours to manage directly — we do not close positions on your behalf on termination unless we choose to as a courtesy.
15Governing law and disputes
These Terms are governed by the substantive laws of Switzerland, excluding its conflict-of-law rules and excluding the UN Convention on Contracts for the International Sale of Goods. Before filing any claim, you agree to contact us at the address in Section 17 and attempt in good faith to resolve the dispute informally for at least 30 days. If that fails, the dispute will be submitted to the exclusive jurisdiction of the ordinary courts of Switzerland, subject to any mandatory consumer-protection venue rights you may have under the law of your place of residence.
16Changes to these Terms
We may update these Terms from time to time. If we make a material change, we will provide notice (for example by email or an in-app notice) before it takes effect. Continued use of the Service after a change takes effect constitutes acceptance of the revised Terms.
